PROPOSED AMENDMENTS TO THE RIVERSIDE SKATING CLUB CONSTITUTION

At our April 14, 2019 Board of Directors meeting, the following change to the Club Constitution and Bylaws were approved by the Board of Directors.

The amendment must be ratified by the general membership of the club. The rationale behind the proposal to change from 60 to 90 days for the holding of an Annual General Meeting as stated in By-law 23, relates to the difficulty in obtaining pertinent financial reports and materials within the existing 60 day time frame. The Board directs that the amendment be presented at the AGM on May 31, 2019 to the voting members of Riverside Skating Club for ratification. The changes are in Itallics.

By-law 23: Timing, Quorum, Special Meeting Request An Annual General Meeting shall be held within 60 90 days of the close of the March 31st Year End. Other general meetings may be held from time to time upon the request of the Board of Directors. A quorum for an Annual General Meeting or Special Meeting shall be 15 of the eligible-voting members. Skate Canada By-law 1201 (1) (c) (i) requires that each club hold an annual meeting.
